Key Plastics Acquires Certain Business and Assets of Paulmann & Crone, of Lüdenscheid, Germany

Part of Long-term Global Strategy, Key becomes a leader of in-mold decorative products for the automotive industry in Europe

Northville, Mich., March 3, 2010 – Key Plastics, L.L.C., today announced that it has purchased and will consolidate certain business and assets of Paulmann & Crone, of Lüdenscheid, Germany, making Key Plastics a European market leader of in-mold decorative products for the automotive industry.

Paulmann & Crone is a supplier of in-mold decorative products, mechanisms and thermoset products in Europe.  In 2009, the company posted annual sales of $30 million USD (EUR 20 million) with five car manufacturers.  The acquired business and assets will be consolidated into Key Plastics facilities in Germany.

With this transfer and consolidation, Key Plastics:

·         Further strengthens its existing in-mold production capabilities in Germany, Portugal and the US and makes Germany its singular point of development and design of in-mold decorative products worldwide

·         Broadens its customer base in Germany, particularly among VW Group and BMW

·         Increases its manufacturing efficiencies in two German plants to over 90 percent

“Our three-year strategic plan carried objectives of strengthening our market position with in-mold decorative products and mechanisms, growth with non-traditional Key Plastics customers, and significant asset utilization targets. The absorption of the Paulmann & Crone business is unique in that it supported each strategic objective for this product line,” said Terry Gohl, chief executive officer for Key Plastics, L.L.C. “The fact that we were able to construct the transaction in a way that benefited all parties, while carrying a nominal expense to Key Plastics, makes this a model for effective industry consolidation.”

Paulmann & Crone entered insolvency in Germany in early 2009 and by September, was days away from impacting customer production, when Key Plastics stepped in. To ensure that customer supply would not be interrupted, Key Plastics worked with Paulmann & Crone’s two largest customers and an insolvency administrator to structure a transaction which would allow for continuation of all business operations until a final agreement was signed and tooling and machinery could be relocated.  Key was also able to retain approximately 25 percent of former Paulmann & Crone employees through redeployment to current Key Plastics facilities.

Consolidation Increases Key Plastics Plant Production Efficiency

Over the next two months, Paulmann & Crone assets will be consolidated into Key Plastics facilities in Kierspe and Lennestadt, Germany.  When complete, the consolidation will increase facility and equipment utilization at the two facilities to greater than 90 percent.

“Through the integration of the business, we will improve the sales per square meter for both the Lennestadt and Kierspe plants by more than 40 percent while reducing salaried, indirect, and some of the direct headcount required to produce the transferred products,” said Gohl. 

 Consolidation Seamless for the Customer

Key Plastics’ manufacturing team has led the production operations at Paulmann & Crone throughout the past several months under contract to the administrator, and on behalf of the VW group and BMW. Production demands and banking of parts to support any down time during the transfer of equipment has been managed effectively. The first consolidation began on Monday, February 15 when Key Plastics moved the initial presses and assembly cells into its Lennestadt facility. A total of 14 specialty injection molding machines and 48 assembly cells will be relocated.
